  • For restorative dentistry leader Sterngold, we documented and negotiated a software licensing agreement as well as master services and escrow agreements relating to the software.  This was Sterngold’s first venture into e-commerce, but we put to work our deep e-commerce experience and our understanding of its business, raising important issues (which we subsequently successfully negotiated) essential to protecting our client’s interests.
  • We successfully negotiated St. Joseph  Hospital’s acquisition of new computer equipment and licensing of related software.  Our familiarity with the large Rhode Island hospital’s operations and needs helped us anticipate key issues.  Further, we enlisted the aid of AP&S bankruptcy attorneys to address client concerns about the potential insolvency of one of the venders.
  • AP&S technology attorneys represented the Cookson Group plc in the $54 million sale of a high-tech industrial-coating business located in the U.S., U.K., Singapore and other venues while retaining its Chinese assets and critical intellectual property rights needed to successfully continue operations there.  Our extensive experience in such transactions and IP transfers enabled us to efficiently advise Cookson as to necessary license and sublicense arrangements.
  • We’ve represented numerous broadband Internet and telecommunications companies—Cox, T-Mobile, Covad, and others—across a spectrum of legal matters, including complex commercial contracts, regulatory matters with both FCC and state agencies, M&A, interconnection disputes, network arrangements, refinancing, vendor agreements, real estate matters, litigation, and legislation.
