Overview

David is a member of the firm’s Business & Corporate Law Group. David has experience assisting individuals, startups, mid-sized, and publicly traded companies with various business, corporate, and real estate matters including residential and commercial real estate sales, acquisitions, financing and leasing; contract drafting and negotiation; regulatory compliance; and business acquisition, sale, formation, and dissolution. He currently works out of the Newport, RI and Providence, RI offices.

David has a track record of delivering tailored legal solutions that align with client’s goals, whether structuring complex deals, ensuring compliance with evolving regulations, or resolving disputes efficiently.  He is committed to building long-term relationships with clients, offering not only legal expertise but also a deep understanding of the industries they serve.

Prior to joining Adler Pollock & Sheehan, David served as a Law Clerk to Justice Brian P. Stern in the Rhode Island Superior Court. He also interned for the Rhode Island Department of Health & Human Services where he assisted in researching and forming public policy. David also spent time assisting clients with a variety of tax matters at the Quinnipiac University School of Law Tax Clinic in North Haven, CT.

Experience

  • Advised SaaS company in its $54 million dollar sale of its membership interests to a private equity firm, including structuring the transaction, conducting due diligence, and negotiating the purchase agreement.
  • Advised a U.S.-based manufacturing client in the $6 million dollar sale of its fourth-generation business to an international buyer, including structuring the transaction, conducting due diligence, and negotiating the purchase agreement. Addressed cross-border tax implications and post-closing integration matters to ensure a seamless transition.
  • Assisted waterfront condominium association with their $20 million dollar refinance with a local banking institution.
  • Provided various legal assistance to client with 120+ gas stations and convenience stores across New England in the acquisition, permitting and contracting of the sites and furtherance of operations. Negotiated various supplier and vendor agreements.
  • Assisted client in the financing and acquisition of a 160-year-old landmark building in the City of Providence.
  • Assisted national gaming company with the review and drafting of commercial lease agreements.
  • Advised a regional bank in structuring and closing a $20 million dollar construction loan for a large-scale mixed-use development project, including drafting and negotiating loan agreements, security documents, and intercreditor arrangements.
  • Represented a leading medical device distributor in its acquisition of a key competitor, including conducting due diligence and negotiating the purchase agreement. Addressed key issues such as intellectual property transfers, customer contract assignments, and employee retention.
  • Assisted various clients in residential and commercial real estate acquisitions and dispositions, including the implementation of 1031 like-kind exchanges.
