Overview

Patrick is a member of the firm’s Business & Corporate Law Group. His practice involves representing clients in corporate and business law matters, land use and zoning matters, mergers and acquisitions, commercial real estate transactions, commercial finance matters, and loan transactions. His background in both business and litigation allows him to navigate clients through a range of business and corporate matters.

Prior to joining Adler Pollock & Sheehan, Patrick served as a Chamber Law Clerk to the Honorable Maureen McKenna Goldberg in the Rhode Island Supreme Court. He also spent a year gaining valuable litigation and municipal law experience at a national law firm. While in law school at Villanova University, Patrick also received his MBA, and was a member of Villanova’s Federal Income Tax Clinic.

 

Experience

  • Advised SaaS company in its $55 million dollar sale of its membership interests to a private equity firm, including structuring the transaction, conducting due diligence, and negotiating the purchase agreement.
  • Provide a range of legal assistance to client with 120+ gas stations and convenience stores across New England in the acquisition, leasing, permitting and contracting of the sites, and the furtherance of operations. Negotiated various supplier and vendor agreements.
  • Represent developers of property before local planning boards for master plan and preliminary plan stages of review, as well as unified development review, and before local zoning boards of review to obtain variances and special use permits.
  • Served as local counsel for purchasers of a historic hotel in Newport, representing the purchasers before the Newport City Council to successfully transfer and obtain various liquor licenses and other licenses and permits essential for the hotel’s business.
  • Advised seller of an iconic Newport restaurant in the sale of its business, including structuring the transaction, conducting due diligence, and negotiating the purchase agreement.
  • Assisted developer in the financing and acquisition of a 160-year-old landmark building in the City of Providence.
  • Assist various clients, both individually and as corporate entities, in residential and commercial real estate purchases and sales, including the implementation of 1031 like-kind exchanges.
